THE FOLLOWING TERMS AND CONDITIONS GOVERN YOUR USE OF FTN.FEDEX.COM, INCLUDING MY GLOBAL TRADE DATA, AND WORLDTARIFF.COM. YOUR VIEWING OR USE OF THIS SITE WILL CONSTITUTE YOUR AGREEMENT, ON BEHALF OF YOURSELF AND THE ENTITY YOU REPRESENT (HEREINAFTER COLLECTIVELY "YOU" OR "YOUR"), TO ALL OF THE TERMS AND CONDITIONS PROVIDED BELOW.

MY GLOBAL TRADE DATA AND THE ASSOCIATED INTERNET SITE FTN.FEDEX.COM ("MY GLOBAL TRADE DATA") IS A SERVICE FROM FEDEX TRADE NETWORKS TRANSPORT & BROKERAGE, INC. ("FEDEX TRADE NETWORKS"). ACCESS TO AND USE OF MY GLOBAL TRADE DATA IS CONDITIONED ON YOUR ACCEPTANCE OF THE FOLLOWING TERMS, CONDITIONS, AND NOTICES, WHICH ACCEPTANCE WILL BE EVIDENCED BY SUCH ACCESS AND USE.

FEDEX TRADE NETWORKS HEREBY GRANTS TO YOU A NON-EXCLUSIVE, NON-TRANSFERABLE, LIMITED LICENSE TO ACCESS AND USE MY GLOBAL TRADE DATA UNDER THE TERMS SET FORTH HEREIN. ALL PROPRIETARY RIGHTS, INCLUDING COPYRIGHTS AND INTELLECTUAL PROPERTY RIGHTS IN MY GLOBAL TRADE DATA AND THE DATA, INFORMATION, SOFTWARE AND OTHER MATERIAL THEREIN CONTAINED, SHALL REMAIN THE PROPERTY OF FEDEX TRADE NETWORKS AND ITS THIRD-PARTY LICENSORS.

FEDEX TRADE NETWORKS, OR ITS SUBSIDIARIES, MAY MAKE FUTURE CHANGES OR MODIFICATIONS TO SUCH TERMS AND CONDITIONS AT ANY TIME WITHOUT NOTICE, AND YOUR SUBSEQUENT VIEWING OR USE OF FTN.FEDEX.COM AND WORLDTARIFF.COM WILL CONSTITUTE YOUR AGREEMENT TO THE CHANGES AND MODIFICATIONS. ftn.fedex.com and worldtariff.com are provided solely for the use of current and potential FedEx Trade Networks customers to interact with FedEx Trade Networks and may not be used by any other person or entity, or for any other purpose. Specifically, all information and services may only be used by current and potential FedEx Trade Networks customers for their own shipments. Use of ftn.fedex.com or worldtariff.com to provide information to or prepare shipments by or for the benefit of third party shippers is expressly prohibited.

The use of automated dial-in or inquiry devices to obtain information through ftn.fedex.com or worldtariff.com is strictly prohibited.

FedEx Trade Networks does not accept ideas, concepts, or techniques for new services or products through ftn.fedex.com or worldtariff.com. If such information is received, it will not be considered confidential and FedEx Trade Networks will be deemed free to use, communicate and exploit such information in any manner it chooses.

Section 3. ftn.fedex.com and worldtariff.com Login Registration.

You may choose to register on ftn.fedex.com and/or worldtariff.com to access interactive features on ftn.fedex.com and worldtariff.com. ftn.fedex.com Login provides you with access to My Global Trade Data at ftn.fedex.com. worldtariff.com Login provides you with access to WorldTariff data at ftn.fedex.com.

By registering on ftn.fedex.com and/or worldtariff.com, You agree to provide accurate and current information about Yourself as prompted by the Login Registration pages and maintain and promptly update Your online profile information to keep it accurate and current.

When you register using ftn.fedex.com and/or worldtariff.com Login Registration, you will receive a User ID and password. You are responsible for maintaining the confidentiality of the password and User ID, and you are responsible for all activities that occur under Your password and User ID. You agree to (a) immediately notify FedEx Trade Networks of any unauthorized use of Your User ID and password, and (b) ensure that You exit from Your ftn.fedex.com and worldtariff.com sessions at the end of each visit.

Section 4. Changes to ftn.fedex.com and worldtariff.com.

ftn.fedex.com and worldtariff.com and their Content, may be changed, deleted or updated at any time without notice.

Section 5. Termination of Use.

FedEx Trade Networks may discontinue, suspend or modify ftn.fedex.com and/or worldtariff.com at any time without notice, and FedEx Trade Networks may block, terminate or suspend Your and any user's access to ftn.fedex.com and/or worldtariff.com at any time for any reason in its sole discretion, even if access continues to be allowed to others.

Customer may not copy, modify, translate, transmit, distribute, adapt, reproduce, decompile, reverse engineer or disassemble any part of ftn.fedex.com, worldtariff.com, or their Content.

FTN.FEDEX.COM, WORLDTARIFF.COM AND THEIR CONTENT ARE PROVIDED "AS IS". FEDEX TRADE NETWORKS AND ITS LICENSORS DISCLAIM ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, REGARDING ANY SUCH CONTENT AND YOUR ABILIITY OR INABILITY TO USE FTN.FEDEX.COM AND ITS CONTENT OR WORLDTARIFF.COM AND ITS CONTENT.

Because of the number of sources from which news, information and data on My Global Trade Data is obtained, and the inherent hazards of electronic distribution, there may be delays, omissions or inaccuracies in such news, information and My Global Trade Data. FedEx Trade Networks AND ITS AFFILIATES, INCLUDING ITS PARENT CORPORATION, AGENTS AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE NEWS, INFORMATION, DATA, AVAILABLE THROUGH My Global Trade Data. FEDEX TRADE NETWORKS EXPRESSLY DISCLAIMS AND EXCLUDES ALL WARRANTIES REGARDING FTN.FEDEX.COM, WORLDTARIFF.COM, MY GLOBAL TRADE DATA, AND THE FUNCTIONING OF THE INTERNET WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. FEDEX TRADE NETWORKS DOES NOT WARRANT THAT MY GLOBAL TRADE DATA OR WORLDTARIFF WILL MEET ALL OF CUSTOMER'S REQUIREMENTS OR THAT ITS OPERATIONS WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT ANY DEFECT WITHIN MY GLOBAL TRADE DATA OR WORLDTARIFF WILL BE CORRECTED. FURTHERMORE, FEDEX TRADE NETWORKS DOES NOT WARRANT NOR MAKE ANY REPRESENTATION REGARDING THE RESULTS OF CUSTOMER'S USE OF MY GLOBAL TRADE DATA OR WORLDTARIFF.COM IN TERMS OF CAPABILITY, CORRECTNESS, ACCURACY, RELIABILITY OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION, REPRESENTATION OR ADVICE GIVEN BY FEDEX TRADE NETWORKS OR AN AUTHORIZED REPRESENTATIVE OF FEDEX TRADE NETWORKS SHALL CREATE A WARRANTY.

The information available through My Global Trade Data is the property of FedEx Trade Networks or its licensors and is protected by copyright and other intellectual property laws. Your acceptance of the terms, conditions, and notices set forth in this Agreement evidences your acknowledgment that My Global Trade Data, including the information, data, software and other material contained therein, is compiled, prepared, revised, selected and arranged by FedEx Trade Networks and/or its third party licensors through the application of methods and standards of judgment developed and applied through the expenditure of substantial time, effort and money. You agree to protect the copyrights and all other proprietary rights of FedEx Trade Networks and its licensors in My Global Trade Data and the information, data, software and other material contained therein.

FedEx Trade Networks reserves the right from time to time to modify or change the organization, format or nature of My Global Trade Data.

Neither you nor anyone else may sell, transfer, assign, publish, distribute, disseminate, allow access to or convey My Global Trade Data or any data, information, software or other material contained therein without the prior written consent of FedEx Trade Networks; provided that you shall on a case by case basis be permitted to make a single hard copy of small amounts of information or data from My Global Trade Data.

Section 8. Limitation of Liability.

USE OF FTN.FEDEX.COM AND ITS CONTENT AND WORLDTARIFF.COM AND ITS CONTENT ARE AT YOUR SOLE RISK. FEDEX TRADE NETWORKS WILL IN NO EVENT BE LIABLE TO YOU OR ANY PERSON OR ENTITY CLAIMING THROUGH YOU FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR OTHER DAMAGES UNDER ANY THEORY OF LAW FOR ANY ERRORS IN OR THE USE OF OR INABILITY TO USE FTN.FEDEX.COM AND ITS CONTENT OR WORLDTARIFF.COM AND ITS CONTENT, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, BUSINESS, DATA, OR DAMAGE TO ANY COMPUTER SYSTEMS, EVEN IF YOU HAVE ADVISED FEDEX TRADE NETWORKS OF THE POSSIBILITY OF SUCH DAMAGES.

Section 9. Indemnity.

You agree to defend, indemnify and hold harmless FedEx Trade Networks, its parent, subsidiaries and affiliate companies and their respective officers, directors, employees, agents and representatives from any and all claims (i) arising out of Your breach of any of these terms and conditions, and any of Your activities conducted in connection with this site.

Section 10. Links to other web sites.

There are links on the ftn.fedex.com site and the worldtariff.com site that allow You to visit the sites of third parties. Neither these sites nor the companies to whom they belong are controlled by FedEx Trade Networks. FedEx Trade Networks makes no representations concerning the information provided or made available on such sites nor the quality or acceptability of the products or services offered by any persons or entities referenced in any such sites.

FedEx Trade Networks has not tested and makes no representations regarding the correctness, performance or quality of any software found at any such sites. You should research and assess the risks which may be involved in accessing and using any software on the Internet before using it.

Section 11. Privacy Policy.

The FedEx Trade Networks Privacy Policy governs the use of information acquired from You through ftn.fedex.com and worldtariff.com.

Section 12. Export.

You assume all responsibility for compliance with all laws and regulations of the United States and any other country from which You may access ftn.fedex.com and/or worldtariff.com regarding access, use, export, re-export and import of any Content appearing on or available through ftn.fedex.com and worldtariff.com.

You acknowledge and agree that you will not export or import any Content to any country to which export or import is restricted under United States law, that You are not a national of any such country, you are not a Denied Party listed on the U.S. Denied Persons List, you are not a Special Designated National on the U.S. Treasury Department's list of Specially Designated Nationals, and that the Content will not be used in the design, development or production of nuclear, chemical or biological weapons.

Section 13. Controlling Law and Severability.

This Agreement and Your use of ftn.fedex.com and worldtariff.com is governed by and construed in accordance with the laws of the United States and the State of Tennessee, excluding its conflict of laws provisions. If for any reason a court of competent jurisdiction finds any provision of this Agreement, or a portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible.

Any cause of action with respect to ftn.fedex.com, worldtariff.com or this Agreement must be instituted within one year after the claim or cause of action has risen or be barred and must be brought in a court of competent jurisdiction within Shelby County, Tennessee. This Agreement may not be changed or modified without the written consent of FedEx Trade Networks.

You agree that the foregoing terms and conditions shall survive any termination of its right of access to the materials identified above. Your use of this site constitutes your agreement to the terms of use stated above.
